User-Generated Content Terms of Use

Ameriprise Financial, Inc., and its subsidiaries, successors, assigns and agents (collectively, "We" or "Ameriprise") own and operate various websites, social media and other online properties ("Ameriprise Websites“') that permit users like you (hereinafter "You' or Your") to submit or publish comments, links, attachments, photos and other content (collectively, "User-Generated Content"). Ameriprise Websites may include, but are not limited to, message boards, blogs, social networks and comment boards. By registering or using any Ameriprise Website, you accept and agree to the following Terms of Use regarding User-Generated Content.

You are solely responsible for User-Generated Content that you post. Under no circumstances will We be liable in any way for any User-Generated Content.

This means that You. not Ameriprise, are entirely responsible for all User-Generated Content that You post, and You recognize and agree that You can be held personally liable for comments that are alleged to be defamatory, obscene or libelous; or that violate these Terms of Use, an obligation of confidentiality or any other right of another person or entity. If any part of the User-Generated Content You post is not your original work, it is Your responsibility to obtain all necessary or desirable permissions to post it.

Because We do not control the User-Generated Content. We cannot and do not represent, warrant or guarantee the accuracy, truthfulness, integrity, suitability or quality of any User-Generated Content. You also agree and understand that by accessing an Ameriprise Website, You may encounter User- Generated Content that You may consider to be objectionable. We have no responsibility for any such User-Generated Content, including without limitation any errors or omissions therein. We are not liable for any loss or damage of any kind You claim as a result of Your viewing or use of any User- Generated Content posted, emailed, transmitted or otherwise mace available on or through an Ameriprise Website. The User-Generated Content posted on or through an Ameriprise Website expresses the personal opinions of the individual who posted it and does not reflect the views of Ameriprise or any person or entity associated with Ameriprise.

You may own User-Generated Content, but We may use it tor any purpose We deem suitable to our needs. You may own the copyright in any original User-Generated Content you post. We do not claim any copyrights in User-Generated Content. However, by using an Ameriprise Website. You are granting Ameriprise a nonexclusive, fully paid, worldwide, perpetual, irrevocable, royalty-free and transferable license (with the right to sublicense through unlimited levels of sublicensees) to use. copy, modify, distribute, publicly display and perform, publish, transmit, remove, retain, repurpose, commercialize and prepare derivative works from User-Generated Content You post. We may exercise any of these rights in any and all media or form of communication, whether now existing or hereafter developed, without obtaining additional consent, without the need to provide any attribution, without restriction, without the need to notify You and without a duty or obligation to compensate You in any way. You also agree that We have the absolute right to authorize others to do alI of the foregoing things by or for themselves with respect to User-Generated Content. For this reason. You should not post any User-Generated Content that You do not wish to license to Ameriprise under these terms and conditions, including any confidential information or product ideas.

We have the absolute right to remove User-Generated Content at our discretion. Ameriprise reserves certain rights, including without limitation, the right (but not the obligation) to monitor all User-Generated Content. We reserve the right to require that You avoid certain subjects if We believe that doing so will help ensure compliance with applicable laws or compliance with these Terms of Use. In that regard, We reserve the right (but not the obligation) to remove or block any User-Generated Content at anytime without notice and at our soie and absolute discretion. We reserve the right to disclose any User-Generated Content and Your identity in response to a subpoena or whenever we believe that disclosure is appropriate to comply with the law or a court order, to prevent or investigate a possible crime or other violation of law, to protect the rights of Ameriprise or others or to enforce these Terms of Use. In addition. We reserve the right (but not the obligation) to terminate Your access to and use of any Ameriprise Website, or to censor, edit or block Your transmissions thereto in our sole discretion. You agree that our exercise of such discretion shall not render us the owners of User-Generated Content you post, and that you v/ill retain ownership of and responsibility for User-Generated Content as described above.

By posting User-Generated Content, You represent and warrant to Ameriprise that: (i) You own or other/vise control all of the rights to the User- Generated Content and have the right to grant the license rights to User-Generated Content that are granted in these Terms of Use; (ii) the User- Generated Content is accurate; and (iii) You are at least eighteen (IS) years Did, and You have read and understood—and Your User-Generated Content fully complies with—these Terms of Use and applicable laws; and (iv) the User-Generated Content will net cause injury to any person or entity.

You agree to indemnify Ameriprise and its affiliates for all claims arising from or in connection with any claims to any rights in any User-Generated Content or any damages arising from any User-Generated Content that You provide. You further agree to indemnify and hold Ameriprise. its officers, directors, and employees (collectively the "Releasees") harmless from any and all claims by any third party against any of the Releasees (and related damages, expenses, costs, including reasonable attorney’s fees, liabilities, verdicts, judgments and settlements) arising out of use of any User- Generated Content posted by You, or any breach of your representations and warranties herein, including but not limited to claims of infringement, misappropriation, or violation of trademark, copyright or other intellectual property rights, right of publicity or right of privacy. Upon submission of User- Generated Content, You hereby release Ameriprise and Releasees from, and irrevocably waive, any and all claims that Ameriprise's use of Your User- Generated Content with or without your name, including but not limited to use on Ameriprise Websites, infringes or violates any of Your rights in or to Your User-Generated Content or any work or material contained in Your User-Generated Content.
